Terms of Service
These Terms govern your access to and use of the Sambad platform, operated by Blanxer Technology Pvt. Ltd. Please read them carefully before using our services.

2. Acceptance of Terms
By registering for or using the Sambad platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you are using Sambad on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree, do not use the platform.
3. The Sambad Platform
Sambad provides an AI-powered omnichannel messaging platform that enables businesses to:
- Manage customer conversations from WhatsApp, Instagram, Facebook, TikTok, and website chat in a single inbox.
- Deploy AI agents for automated replies, lead scoring, and conversation management.
- Integrate with the Blanxer ecommerce platform for agentic order placement and fulfillment.
- Collaborate across team members with assignment, notes, and routing features.
Features marked "Coming Soon" are not yet available and are subject to change.
4. Account Registration
You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@blanxer.com if you suspect unauthorized access.
5. Subscriptions and Billing
- Free Trial: All plans include a 7-day free trial. No advance payment is required during the trial period.
- Billing Cycle: Subscriptions are billed monthly or yearly as selected. Yearly plans are billed upfront and include a 20% discount.
- Auto-Renewal: Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date.
- Price Changes: We will notify you at least 30 days in advance of any price changes.
- Taxes: Prices are exclusive of applicable taxes. VAT/GST will be added where required by Nepali law.
6. Cancellation
You may cancel your subscription at any time from your account settings. Upon cancellation, your plan remains active until the end of the current billing period. We do not provide prorated refunds for partial billing periods unless required by applicable law. See our Return & Refund Policy for details.
7. Acceptable Use
You agree not to use Sambad to:
- Send spam, bulk unsolicited messages, or messages that violate platform policies of connected channels (Meta, WhatsApp, TikTok).
- Engage in illegal activities, fraud, or misrepresentation.
- Collect or process personal data of individuals without appropriate consent and legal basis.
- Reverse-engineer, decompile, or attempt to extract the source code of the platform.
- Resell or sublicense access to Sambad without written permission.
- Introduce malware, viruses, or other harmful code.
Violation of this section may result in immediate suspension or termination of your account without refund.
8. Channel Integrations
When you connect a social channel (WhatsApp, Instagram, Facebook, TikTok) to Sambad, you authorize us to access and manage messages on your behalf using OAuth 2.0. Your social media passwords are never shared with or stored by Sambad. You must comply with the terms of service of each connected platform. We are not responsible for changes to third-party APIs that affect Sambad functionality.
9. AI Features
Sambad's AI features (auto-reply, lead scoring, conversation summaries) are provided to assist your team and do not constitute professional advice. You are responsible for reviewing AI-generated responses before they are sent where your plan includes manual review. AI accuracy is not guaranteed. You must not use AI features to mislead, harm, or discriminate against your customers.
10. Intellectual Property
Sambad and all its technology, branding, and content are owned by Blanxer Technology Pvt. Ltd. You retain ownership of your business data and conversation content. You grant us a limited license to process your data solely to provide the Sambad services. We may use anonymized, aggregated data to improve the platform.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Blanxer Technology Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Sambad, including lost profits, lost data, or business interruption. Our total liability shall not exceed the amount paid by you to Sambad in the three months preceding the claim.
12. Indemnification
You agree to indemnify and hold Blanxer Technology Pvt. Ltd. harmless from claims, damages, and expenses (including legal fees) arising from your violation of these Terms, your use of the platform, or your violation of any third-party rights.
13. Service Availability
We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible. We are not liable for downtime caused by third-party services (e.g., Meta API outages, WhatsApp service disruptions).
14. Termination
We may suspend or terminate your account if you breach these Terms, engage in fraudulent activity, or fail to pay outstanding invoices. Upon termination, your access to the platform will cease and your data will be deleted per our retention policy. You may request a data export within 30 days of termination.
15. Modifications to These Terms
We reserve the right to modify these Terms. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of Sambad after the effective date constitutes acceptance of the updated Terms.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of Nepal. Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the jurisdiction of competent courts in Bhaktapur, Nepal.
